1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you ("User," "you," or "your") and PiNation Tech Inc. ("we," "our," or "us"), the developer of Bill Align (the "App"). By downloading, installing, or using the App or visiting our website at billalign.pination.net, you agree to be bound by these Terms.

If you do not agree to these Terms, do not download, install, or use the App.

2. What Bill Align Does

Bill Align is a personal finance planning tool that helps you organize your bills, income, and debts, and generates a payment schedule based on information you provide. The App uses a proprietary algorithm to calculate payment windows and cash flow projections entirely on your device.

Bill Align is a planning and organizational tool only. It is not a bank, financial institution, payment processor, or financial advisory service. The App does not move money, connect to your bank accounts, or execute any financial transactions on your behalf.

3. License to Use the App

Subject to your compliance with these Terms, PiNation Tech grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App on a device you own or control, solely for your personal, non-commercial purposes.

This license does not include the right to:

• Copy, modify, or distribute the App or any portion of it
• Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithm of the App
• Sublicense, sell, resell, transfer, or commercially exploit the App
• Remove or alter any proprietary notices, labels, or marks on the App
• Use the App to build a competing product or service

4. Intellectual Property

The App, including but not limited to its name, logo, design, user interface, and the proprietary payment optimization algorithm that powers it, is owned exclusively by PiNation Tech and is protected by copyright, trademark, trade secret, and other intellectual property laws of Canada and applicable international law.

Nothing in these Terms transfers any intellectual property rights to you. Your use of the App does not grant you any ownership interest in the App or its underlying technology.

5. Your Data and Privacy

All financial data you enter into the App - including income, bills, debts, and account balances - is stored exclusively on your device. We do not collect, transmit, or store your personal or financial information on any server.

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you agree to our Privacy Policy.

6. User Responsibilities

You are solely responsible for:

• The accuracy, completeness, and reliability of all data you enter into the App
• Any financial decisions you make based on information generated by the App
• Maintaining the security of your device and, if enabled, your biometric authentication settings
• Keeping the App updated to the latest version available on your platform's app store
• Complying with all applicable laws in your jurisdiction when using the App

7. Prohibited Uses

You agree not to use the App to:

• Violate any applicable local, provincial, national, or international law or regulation
• Attempt to gain unauthorized access to any part of the App or its related systems
• Introduce viruses, malware, or any other harmful code
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the App
• Use the App for any commercial, business, or resale purpose
• Impersonate or misrepresent your affiliation with any person or entity

8. App Store Terms

The App is distributed through the Apple App Store and Google Play Store. Your use of the App is also subject to the terms and conditions of the platform through which you downloaded it:

• Apple users are subject to Apple's App Store Terms of Service
• Android users are subject to Google's Google Play Terms of Service

In the event of a conflict between these Terms and the applicable app store terms, the app store terms will govern solely with respect to your relationship with that platform.

9. Subscriptions and In-App Purchases

Bill Align requires an active subscription to access its full functionality. A 30-day free trial is included with your first subscription, after which the subscription renews annually.

• Subscription is managed through Google Play or Apple App Store
• Payment is processed by the respective app store, not by us
• The free trial automatically converts to a paid annual subscription unless cancelled before the trial period ends
• You can cancel your subscription at any time through your app store account settings
• Refunds are handled by the respective app store per their refund policies
• We use RevenueCat, a third-party service, to verify and manage your subscription status

10. Financial Disclaimer

Bill Align is not a financial advisor. The payment schedules, cash flow projections, and debt estimates generated by the App are based solely on data you enter and are provided for informational and organizational purposes only. Nothing in the App constitutes financial advice, investment advice, tax advice, legal advice, or any other professional financial guidance.

Results produced by the App are estimates only and may not reflect your actual financial situation. PiNation Tech is not responsible or liable for any financial decisions, losses, or outcomes arising from your use of or reliance on the App. For advice specific to your situation, please consult a qualified financial advisor, accountant, or other licensed professional.

11. Updates and Changes to the App

We may from time to time release updates, enhancements, or new versions of the App. Some updates may be required to continue using the App. We reserve the right to:

• Add, modify, or remove features at any time without notice
• Discontinue the App or any feature at any time
• Require you to update the App to access certain features or continue using it

We are not obligated to provide any specific features, maintain backward compatibility, or continue developing the App.

12. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, PiNation Tech expressly disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• That the App will be uninterrupted, error-free, or free of viruses or other harmful components
• That the results obtained from using the App will be accurate, reliable, or suitable for your needs
• That any errors or defects in the App will be corrected

Some jurisdictions do not allow the exclusion of implied warranties. If you are located in such a jurisdiction, some of the above exclusions may not apply to you.

13. Limitation of Liability

To the fullest extent permitted by applicable law, PiNation Tech and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of data, profits, revenue, or financial opportunity
• Financial decisions made based on the App's output
• Unauthorized access to or alteration of your data on your device
• Any bugs, errors, or inaccuracies in the App's calculations
• Any interruption or cessation of the App

In no event shall PiNation Tech's total liability to you for all claims arising out of or related to these Terms or your use of the App exceed the amount you paid for the App in the twelve (12) months preceding the claim. If the App was provided to you free of charge, PiNation Tech's total liability shall not exceed CAD $100.

Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages. If you are located in such a jurisdiction, some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless PiNation Tech and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of or inability to use the App
• Your violation of these Terms
• Any financial decisions you make based on the App's output
• Your violation of any applicable law or third-party rights

15. Termination

These Terms remain in effect until terminated. We may terminate or suspend your access to the App at any time, without notice, for any reason, including if we believe you have violated these Terms.

You may terminate these Terms at any time by uninstalling the App from your device. Upon termination, all data stored locally on your device will be deleted and your license to use the App will immediately cease.

Sections that by their nature should survive termination - including intellectual property, disclaimer of warranties, limitation of liability, indemnification, and governing law - shall survive.

16. Age Requirement

You must be at least 18 years old to use the App. By using the App, you represent and warrant that you are 18 years of age or older. If you are under 18, you may not use the App.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, it shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

This does not limit any mandatory rights you may have under the consumer protection laws of your own jurisdiction.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PiNation Tech regarding your use of the App and supersede all prior agreements, understandings, or representations relating to the same subject matter.

20. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page and, where changes are material, notify users through the App or via prominent notice on our website. Your continued use of the App after any changes constitutes your acceptance of the updated Terms.
